Please read these terms and conditions carefully before using our OEM/ODM bag manufacturing services. These terms govern your business relationship with our company.
1. Acceptance of Terms
By engaging with our bag manufacturing services, requesting quotes, placing orders, or using our OEM/ODM services, you ("Client," "Customer," or "you") agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and our company.
Important: We are a B2B manufacturer and do not provide retail services. Our services are exclusively for businesses, distributors, brands, and commercial entities.
2. Services Description
We provide professional bag manufacturing services including:
- OEM Services: Manufacturing bags according to your specifications and designs
- ODM Services: Complete product development from concept to mass production
- Product Categories: Shopping Bags, Tote Bags, Gym Bags, Travel Bags, Women's Bags, Backpacks
- Customization: Materials, colors, sizes, patterns, logos, styles, and labels
- Sample Development: Prototyping and sample production services
3. Order Process and Requirements
3.1 Minimum Order Quantities (MOQ)
All orders are subject to minimum quantity requirements, which vary by product type and customization level. MOQ details will be specified in quotations and must be met for order processing.
3.2 Quotations and Pricing
All quotations are valid for 30 days unless otherwise specified. Prices are subject to change based on material costs, order quantities, and customization requirements. Final pricing will be confirmed in the purchase order.
3.3 Design and Specifications
Clients must provide complete and accurate specifications, designs, and requirements. Any changes after production commencement may result in additional costs and extended delivery times.
4. Payment Terms
- Sample Orders: 100% payment in advance
- Production Orders: Typically 30-50% deposit, balance before shipment
- Payment Methods: Bank transfer, L/C, or other agreed methods
- Currency: USD or other mutually agreed currencies
5. Production and Delivery
5.1 Lead Times
Production lead times vary based on order complexity, quantity, and current production schedule. Estimated delivery dates are provided in good faith but are not guaranteed.
5.2 Quality Control
We maintain strict quality control standards throughout the manufacturing process. Clients may request pre-shipment inspections at their own cost.
5.3 Shipping and Risk Transfer
Risk of loss transfers to the client upon delivery to the carrier. Shipping terms will be specified in the purchase order (FOB, CIF, etc.).
6. Intellectual Property
Clients retain ownership of their designs, trademarks, and intellectual property. We agree to maintain confidentiality and will not reproduce client designs for other parties without written consent. Clients must ensure they have the right to use all designs and trademarks provided.
7. Quality Assurance and Returns
7.1 Quality Standards
Products will conform to agreed specifications and industry standards. Any quality issues must be reported within 15 days of receipt.
7.2 Defective Products
We will replace or refund products that fail to meet agreed specifications due to manufacturing defects. Liability is limited to the product value and does not include consequential damages.
8. Limitation of Liability
Our liability is limited to the value of the defective products. We are not liable for indirect, consequential, or punitive damages, including but not limited to loss of profits, business interruption, or market opportunities.
9. Confidentiality
Both parties agree to maintain confidentiality regarding proprietary information, designs, pricing, and business practices shared during the course of business relationship.
10. Force Majeure
Neither party shall be liable for delays or failures in performance due to circumstances beyond their reasonable control, including natural disasters, government actions, labor disputes, or material shortages.
11. Governing Law and Disputes
These Terms are governed by the laws of the People's Republic of China. Any disputes will be resolved through negotiation or arbitration in Chengdu, China, according to local arbitration rules.
12. Modifications and Updates
We reserve the right to modify these Terms at any time. Updated terms will be posted on our website and communicated to active clients. Continued use of our services constitutes acceptance of modified terms.
